Terms and Conditions

Please read these Terms and Conditions ("Terms") carefully before using the PrayGate mobile application (the "App") or any related services (collectively, the "Services") operated by Lead Pamp LLC ("Company," "we," "us," or "our").

By downloading, installing, accessing, or using the Services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the Services.

These Terms constitute a legally binding agreement between you and Lead Pamp LLC. We reserve the right to update or modify these Terms at any time. Your continued use of the Services after any changes constitutes your acceptance of the revised Terms.

1. Acceptance of Terms

By creating an account, accessing, or using PrayGate, you confirm that you are at least 13 years of age (or the minimum age required in your jurisdiction), that you have read and understood these Terms and our Privacy Policy, and that you agree to be legally bound by them. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Changes to These Terms

We reserve the right to modify these Terms at any time at our sole discretion. When we make material changes, we will update the "Last Updated" date at the top of this page and may provide additional notice through the App or via email. It is your responsibility to review these Terms periodically. Your continued use of the Services following the posting of revised Terms means that you accept and agree to those changes.

3. User Accounts

3.1 Account Registration

To access certain features of the Services, you may be required to create an account. When you register, you agree to provide accurate, current, and complete information and to keep that information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

3.2 Account Security

You agree to notify us immediately at contact@praygateapp.com if you suspect any unauthorized access to or use of your account. We are not liable for any loss or damage arising from your failure to safeguard your account credentials.

3.3 Account Termination by You

You may delete your account at any time by contacting us at contact@praygateapp.com or through the account settings within the App. Upon deletion, your right to use the Services will immediately terminate. Certain information may be retained as required by law or legitimate business purposes as described in our Privacy Policy.

3.4 Account Suspension or Termination by Us

We reserve the right to suspend, restrict, or terminate your account and access to the Services at our sole discretion, without prior notice or liability, for any reason, including but not limited to a violation of these Terms, conduct that we determine is harmful to other users, the Company, or third parties, or for any other reason we deem appropriate. Upon termination, your right to use the Services will immediately cease.

4. User Content

4.1 Content You Create or Upload

The Services may allow you to create, upload, store, and share content, including text and images ("User Content"). User Content is created and stored internally within the App and is not publicly shared with other users unless a feature explicitly enables such sharing. By submitting User Content, you represent and warrant that:

. You own or have the necessary rights, licenses, and permissions to submit and use the User Content.
. The User Content does not infringe upon the intellectual property rights, privacy rights, or any other rights of any third party.
. The User Content does not violate any applicable law or regulation.
. The User Content is not defamatory, obscene, harmful, threatening, harassing, abusive, or otherwise objectionable.

4.2 License Grant for User Content

By submitting User Content to the Services, you grant Lead Pamp LLC a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, and display your User Content solely for the purposes of operating, improving, and providing the Services. This license continues until you delete the User Content or your account, except where copies have been shared with others or where retention is required by law.

4.3 Content Standards

You agree not to submit User Content that:

. Is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
. Infringes any patent, trademark, trade secret, copyright, or other intellectual property or proprietary rights of any party
. Contains unsolicited or unauthorized advertising, promotional materials, spam, or any other form of solicitation
. Contains software viruses, malware, or any other harmful code
. Violates any applicable local, state, national, or international law
. Impersonates any person or entity or misrepresents your affiliation with any person or entity

4.4 Content Removal

We reserve the right, but not the obligation, to review, monitor, remove, or disable access to any User Content at our sole discretion and at any time, without prior notice and for any reason, including User Content that we determine violates these Terms or is otherwise objectionable.

5. Intellectual Property

5.1 Our Proprietary Rights

The Services and all content, features, and functionality thereof — including but not limited to the PrayGate name, logo, app icon, visual design, trademarks, trade dress, typography, color systems, user interface elements, software, code, text, graphics, images, audio, video, scripts, and all other materials — are the exclusive property of Lead Pamp LLC or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

The PrayGate name, logo, and all related marks, trade names, and trade dress are trademarks and service marks of Lead Pamp LLC. You may not use, copy, reproduce, modify, republish, upload, post, transmit, distribute, or create derivative works from any of our proprietary content or trademarks without our express prior written consent.

5.2 Limited License to Users

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your own personal, non-commercial purposes. This license does not include the right to:

. Sell, resell, or commercially exploit the Services or any content therein
. Copy, reproduce, distribute, or publicly display any portion of the Services
. Modify, reverse engineer, decompile, or disassemble any part of the Services
. Use data mining, robots, or similar data gathering or extraction methods
. Remove any copyright, trademark, or other proprietary notices from any content

5.3 Copyright Infringement — DMCA Notice

We respect the intellectual property rights of others and expect users of our Services to do the same. If you believe that content available on or through the Services infringes your copyright, please send a written notice of infringement (a "DMCA Notice") to our designated copyright agent containing the following information:

We will review all valid DMCA Notices and respond in accordance with applicable law. We reserve the right to terminate the accounts of repeat infringers.

6. Subscriptions, Payments, and In-App Purchases

6.1 Subscription Plans

PrayGate offers paid subscription plans that provide access to premium features of the Services. Available plans and pricing are displayed within the App and may be updated from time to time. Current plans include annual, monthly, and weekly subscription options.

6.2 Free Trial

We may offer a free trial period for new subscribers. At the end of the free trial, your subscription will automatically convert to a paid subscription and you will be charged the applicable subscription fee unless you cancel before the trial period ends. You may be required to provide payment information to begin a free trial. Only one free trial is available per user per subscription type. We reserve the right to modify or discontinue free trial offerings at any time.

6.3 In-App Purchases — Subscriptions

Subscription purchases are processed through Apple App Store In-App Purchases (for iOS devices) and Google Play In-App Purchases (for Android devices), as applicable, and managed through RevenueCat. By subscribing, you authorize us and the applicable app store to charge the applicable subscription fee to your payment method on a recurring basis until you cancel. Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period.

6.4 One-Time In-App Purchases

In addition to subscriptions, the Services may offer one-time purchases of goods, products, digital items, or other services ("One-Time Purchases"). All One-Time Purchases are final and non-refundable unless otherwise required by applicable law. Prices for One-Time Purchases are displayed at the point of purchase and may be changed at any time.

6.5 Price Changes

We reserve the right to change our subscription prices and the prices of any goods or services at any time. For existing subscribers, price changes will take effect at the start of the next billing cycle following notice of the change. If you do not agree to a price change, you may cancel your subscription before the price change takes effect.

6.6 Cancellation

You may cancel your subscription at any time through the subscription management settings in your Apple App Store or Google Play account. Cancellation will take effect at the end of the current billing period, and you will retain access to premium features until that date. We do not offer refunds for unused portions of a subscription period except as required by applicable law or at our sole discretion.

6.7 Refunds

All purchases are generally final and non-refundable. Refund requests for App Store purchases must be submitted directly to Apple. Refund requests for Google Play purchases must be submitted directly to Google. We do not control and are not responsible for the refund policies of third-party app stores. To request a refund directly from us for other purchases, contact us at contact@praygateapp.com. We will review refund requests on a case-by-case basis and issue refunds at our sole discretion where required by law.

6.8 Restore Purchases

If you reinstall the App or use it on a new device, you may restore your prior purchases through the "Restore Purchases" feature within the App. Restore functionality is subject to the policies of the applicable app store.

7. Feedback and Suggestions

We welcome your feedback, ideas, and suggestions regarding the Services ("Feedback"). If you submit Feedback to us — whether through the App, email, social media, or any other channel — you agree that:

. Your Feedback is provided voluntarily and without any expectation of compensation, credit, or attribution.
. We may use, implement, incorporate, modify, or commercialize your Feedback for any purpose without any obligation to you.
. We own all rights, title, and interest in any improvements or features developed based on your Feedback.
. You waive any moral rights or other rights you may have in the Feedback to the fullest extent permitted by law.

You acknowledge that we receive many suggestions and ideas and that our own development efforts may be similar to or overlap with your Feedback without any obligation arising from that similarity.

8. Promotions, Contests, and Sweepstakes

From time to time, we may offer promotions, contests, sweepstakes, or other special offers (collectively, "Promotions") within the Services. Each Promotion will be governed by its own official rules, which will be made available at the time of the Promotion and are incorporated into these Terms by reference. In the event of any conflict between the official rules of a Promotion and these Terms, the official rules will control with respect to that Promotion.

By participating in any Promotion, you agree to:
. Comply with all applicable official rules and eligibility requirements
. Comply with all applicable federal, state, and local laws and regulations
. Provide accurate information as required for participation

Promotions are void where prohibited by law. We reserve the right to modify, suspend, or cancel any Promotion at any time for any reason. All decisions made by us regarding Promotions are final and binding.

9. Prohibited Conduct

You agree not to engage in any of the following prohibited activities when using the Services:
. Violating any applicable law, regulation, or third-party rights
. Using the Services for any unauthorized commercial purpose
. Attempting to gain unauthorized access to any portion of the Services, other accounts, or systems connected to the Services
. Circumventing or disabling any security, digital rights management, or content protection features of the Services
. Reverse engineering, decompiling, disassembling, or attempting to derive the source code of the App
. Transmitting any harmful, offensive, defamatory, fraudulent, or misleading content through the Services
. Using any automated means, including bots, scrapers, or crawlers, to access or interact with the Services
. Interfering with or disrupting the integrity or performance of the Services or servers or networks connected to the Services
. Impersonating any person or entity, or misrepresenting your affiliation with any person or entity
. Collecting or harvesting personal information of other users without their consent
. Using the Services in any manner that could damage, disable, overburden, or impair the Services
. Engaging in any conduct that restricts or inhibits anyone's use or enjoyment of the Services

10. Third-Party Services and Links

The Services may integrate with, contain links to, or depend upon third-party services, platforms, websites, or applications ("Third-Party Services"), including but not limited to Apple App Store, Google Play, RevenueCat, ActiveCampaign, Firebase, Google Analytics, and social media platforms. We do not control Third-Party Services and are not responsible for their content, privacy practices, terms, or availability.

Your use of Third-Party Services is at your own risk and is governed solely by the terms and policies of those third parties. We encourage you to review the terms and privacy policies of any Third-Party Services you use in connection with our Services. The inclusion of any link or integration does not imply our endorsement of the linked service.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, LEAD PAMP LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT: (A) THE SERVICES WILL MEET YOUR REQUIREMENTS; (B) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE RESULTS OBTAINED FROM USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE; OR (D) ANY ERRORS IN THE SERVICES WILL BE CORRECTED.

No advice or information, whether oral or written, obtained by you from us or through the Services will create any warranty not expressly stated in these Terms. Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LEAD PAMP LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE OR SYSTEM FAILURE, OR THE COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you in full.

13. Indemnification

You agree to defend, indemnify, and hold harmless Lead Pamp LLC and its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

. Your violation of these Terms
. Your use of the Services, including any User Content you submit
. Your violation of any third-party right, including any intellectual property, privacy, or proprietary right
. Any claim that your User Content caused damage to a third party
. Your violation of any applicable law or regulation

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claim at your own expense.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles.

14.2 Informal Resolution

Before initiating any formal legal proceeding, you agree to first contact us at contact@praygateapp.com and attempt to resolve the dispute informally. We will attempt to resolve the dispute informally by contacting you via email. If a dispute is not resolved within 30 days of submission, either party may pursue formal proceedings.

14.3 Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS AND REQUIRES ARBITRATION OF DISPUTES RATHER THAN JURY TRIALS OR CLASS ACTIONS.

Except for claims that qualify for small claims court, any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Services that cannot be resolved informally shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, rather than in a court. The arbitration will be conducted in Los Angeles County, California, or by telephone or videoconference. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

14.4 Class Action Waiver

YOU AND LEAD PAMP LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

14.5 Jury Trial Waiver

TO THE EXTENT ANY CLAIM IS PERMITTED TO PROCEED IN COURT NOTWITHSTANDING THE ARBITRATION AGREEMENT ABOVE, YOU AND LEAD PAMP LLC WAIVE ANY RIGHT TO A JURY TRIAL.

15. App Store Terms

If you download or use PrayGate through Apple's App Store, you acknowledge and agree that:
. These Terms are between you and Lead Pamp LLC only, and not with Apple Inc.
. Apple has no obligation whatsoever to furnish any maintenance or support services with respect to the App.
. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App; and to the maximum extent permitted by applicable law, Apple will have no other warranty obligation.
. Apple is not responsible for addressing any claims by you or any third party relating to the App or your possession and/or use of the App.
. Apple and Apple's subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

If you download or use PrayGate through Google Play, your use of the App is also subject to Google Play's Terms of Service.

16. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including provisions regarding ownership, warranty disclaimers, indemnity, and limitations of liability.

You may terminate your use of the Services at any time by deleting your account and uninstalling the App. Subscription cancellations are governed by Section 6.6.

17. Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy, available within the App and at https://praygateapp.com, to understand our practices regarding the collection, use, and disclosure of your personal information.

18. Electronic Communications

By using the Services or communicating with us electronically, you consent to receive electronic communications from us. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically, via email or through the App, satisfy any legal requirement that such communications be in writing.

19. Entire Agreement and Severability

These Terms, together with our Privacy Policy and any other legal notices or agreements published by us through the Services, constitute the entire agreement between you and Lead Pamp LLC concerning the Services and supersede all prior or contemporaneous agreements, representations, warranties, and understandings.

If any provision of these Terms is found by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, that provision will be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms will continue in full force and effect.

20. Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of Lead Pamp LLC.
